ATX Limousines — Terms of Use (Guests)

Welcome to ATX Limousines.
These Terms of Use (the “Terms”) are a legally binding agreement between Profectus Services, L.L.C. d/b/a ATX Limousines (“ATX Limousines,” “ATX,” “we,” “us,” “our”) and the individual who accesses or uses the ATX website, booking pages, messaging, or other technology, or who books transportation through ATX for themselves or for any passenger (the “Guest,” “you”).
By accessing the Platform (defined below) or booking through ATX, you agree to these Terms.
IMPORTANT NOTICE ABOUT DISPUTE RESOLUTION: Section 4 contains an arbitration agreement and class action waiver that affects how disputes are resolved in the United States. Please read it carefully.
If you do not agree to these Terms, do not use the Platform or book through ATX.
1. Definitions
- “Platform” means ATX’s websites, landing pages, booking or quote forms, communications tools, and related technology used to request, arrange, or manage trips.
- “Transportation Provider” means an independent, third-party transportation company and/or chauffeur service that performs the ride.
- “Transportation Service” means the transportation services actually performed by a Transportation Provider (e.g., chauffeured ground transportation).
- “Fees/Charges” means the amounts charged for a booking, including base rates, gratuity, taxes, surcharges, tolls, and processing fees, where applicable.
2. What ATX Limousines Does (and Does Not Do)
ATX Limousines operates a booking and coordination platform that connects Guests with independent Transportation Providers.
ATX Limousines does not provide Transportation Services. ATX does not own vehicles, employ drivers, or control how a Transportation Provider performs a trip. Transportation Providers are solely responsible for the Transportation Service, including but not limited to:
- driver qualifications and conduct
- vehicle condition, maintenance, and safety
- commercial insurance and licensing
- compliance with applicable laws and regulations
- performance of the trip and customer service during the trip
ATX’s role is limited to facilitating bookings and communications, and in many cases collecting payments and remitting amounts to Transportation Providers (as applicable).
3. Eligibility, Accounts, and Booking for Others
You may use the Platform only if you have the legal capacity to enter into these Terms and can comply with them. By booking through ATX, you represent that you are at least 18 years old.
If you book or arrange travel for other passengers, you represent that you have authority to accept these Terms on their behalf and you agree you are responsible for their compliance with these Terms.
We may decline service, restrict access, or cancel bookings if we reasonably believe it is necessary to protect Guests, Transportation Providers, ATX, or the public, or to prevent fraud, abuse, or unlawful conduct.
4. Arbitration Agreement and Class Action Waiver (U.S.)
This Section applies to the fullest extent permitted by law.
4.1 Covered Disputes
Except where prohibited by law, you and ATX agree that any dispute, claim, or controversy arising out of or relating to: (a) these Terms (including prior versions), (b) the Platform or any Platform communications, (c) any booking facilitated by ATX, or (d) any incident alleged to be connected to the Platform or a booking (each a “Dispute”) will be resolved exclusively through final and binding individual arbitration, not in court.
This arbitration agreement is governed by the Federal Arbitration Act (“FAA”).
4.2 Waiver of Jury Trial
You and ATX are giving up the right to have Disputes decided by a judge or jury.
4.3 No Class or Representative Proceedings
Disputes must be brought only in an individual capacity. Neither you nor ATX will bring or participate in a class action, collective action, private attorney general action, or other representative proceeding, or consolidate Disputes with another person’s claims, to the extent permitted by law.
4.4 Informal Resolution First (Required)
Before starting arbitration, the parties agree to attempt informal resolution in good faith.
To start informal resolution, you must send a written notice to ATX including: your name, contact information, booking details (if any), a description of the issue, and the relief you are requesting.

The parties will attempt to resolve the Dispute within 30 days after notice is received. The statute of limitations is tolled during this informal process to the extent permitted by law.
4.5 Arbitration Administrator and Rules
Arbitration will be administered by the American Arbitration Association (AAA) under its consumer arbitration rules then in effect, as modified by these Terms.
4.6 Location / Remote Hearings
Unless the arbitrator decides otherwise for fairness, the arbitration will take place in Travis County, Texas, and may be conducted by video, telephone, or written submissions when permitted.
4.7 Exceptions
Either party may seek relief in small claims court if eligible and the claim remains in small claims court. Either party may seek injunctive or equitable relief in court for unauthorized access to the Platform or infringement/misuse of intellectual property.
4.8 Severability
If any part of this Section 4 is found unenforceable, the remainder will remain in effect.
5. Quotes, Bookings, Trip Changes
5.1 Quotes and Confirmation
Quotes are based on the information you provide and availability at the time. A booking is confirmed when you receive written confirmation from ATX (or through ATX) indicating the trip has been accepted/confirmed.
5.2 Accuracy of Trip Details
You are responsible for providing accurate pickup and drop-off details, dates/times, passenger count, luggage details, stops, and special requests. If trip details change, additional Charges may apply, or the Transportation Provider may be unable to perform the service.
5.3 Passenger Conduct and Safety
Guests and passengers must act safely and lawfully. A Transportation Provider may refuse or end service if safety is compromised, laws are violated, or conduct is threatening, abusive, or disruptive. Refunds may be limited or unavailable in such cases.
6. Pricing, Payment, Gratuity, and Processing Fees
6.1 Charges
When you book, you agree to pay all Charges associated with the booking. Charges may include, as applicable:
- base rate (flat or hourly minimum)
- applicable taxes (where required)
- tolls, airport fees, parking, or similar pass-through costs
- 20% gratuity (included unless explicitly stated otherwise in writing)
- 3.4% credit card processing fee (applied to card payments)
6.2 Payment Authorization
By providing a payment method, you authorize ATX (directly or through payment processors) to charge the payment method for Charges due, including any approved adjustments consistent with these Terms.
If your primary payment method cannot be charged, you authorize ATX to attempt another payment method you have provided, where available.
6.3 Receipts
You may receive receipts or booking confirmations by email and/or SMS.
6.4 Chargebacks and Payment Disputes
If you initiate a chargeback or payment dispute, ATX may provide documentation to the processor/issuer and may suspend your access to the Platform. If a chargeback is resolved in ATX’s favor, you agree to reimburse ATX for related costs and fees to the extent permitted by law.
7. Cancellations, No-Shows, and Refunds
ATX will publish a Cancellation Policy. Until then, the following applies unless otherwise stated in writing at the time of booking:
- Cancellations within 24 hours of pickup may be charged up to the full booking amount.
- No-shows (including failure to arrive within a reasonable wait window communicated at booking) may be charged up to the full booking amount.
- Certain trips (event services, hourly minimums, larger vehicles, out-of-town trips) may have stricter policies disclosed at booking.
Refunds, if any, will be issued to the original payment method, and non-recoverable fees (including card processing fees) may be excluded where permitted by law.
8. Vehicle Damage, Excess Cleaning, and Incidentals
You are responsible for damage beyond normal wear and tear and for extraordinary cleaning caused by you or your passengers. If a Transportation Provider reports damage or excessive cleaning and provides reasonable support, you authorize ATX to charge your payment method for the associated costs and remit them to the Transportation Provider (minus processing costs, if applicable). These charges are generally non-refundable except where required by law.
9. Lost Items
ATX is not responsible for property left in vehicles. We may help coordinate retrieval with the Transportation Provider, but recovery is not guaranteed, and fees may apply.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND PLATFORM SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ATX DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR ALWAYS AVAILABLE, OR THAT TRANSPORTATION WILL BE AVAILABLE AT ANY TIME OR LOCATION.
ATX DOES NOT WARRANT OR GUARANTEE THE PERFORMANCE, SAFETY, OR QUALITY OF ANY TRANSPORTATION PROVIDER OR TRANSPORTATION SERVICE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ATX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR ANY BOOKING.
- ATX WILL NOT BE LIABLE FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING FROM THE TRANSPORTATION SERVICE PERFORMED BY A TRANSPORTATION PROVIDER.
CAP ON LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATX’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY BOOKING WILL NOT EXCEED THE GREATER OF: (a) the amounts you paid to ATX for the booking giving rise to the claim, or (b) $1,000.
Nothing in these Terms limits liability that cannot legally be limited.
12. Indemnification
You agree to defend, indemnify, and hold harmless ATX and its owners, affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, penalties, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your or your passengers’ use of the Platform or a booking,
- your breach of these Terms or any posted policies,
- your violation of law or third-party rights,
- misconduct, negligence, or harmful acts by you or your passengers,
- damage to vehicles or property caused by you or your passengers, or
- illegal activity by you or your passengers in connection with a booking.
You may not settle any claim in a manner that imposes obligations on ATX without ATX’s written consent.
13. Force Majeure
ATX is not responsible for delays or failures due to events beyond reasonable control, including severe weather, natural disasters, labor disruptions, war, terrorism, government actions, public health emergencies, or outages of utilities or communications networks. Where feasible, ATX or the Transportation Provider may offer rescheduling consistent with applicable terms.
14. Suspension and Termination
These Terms remain in effect while you use the Platform. ATX may suspend or terminate access to the Platform if we reasonably believe you have violated these Terms, engaged in fraud or misuse, created safety risks, or exposed ATX or Transportation Providers to legal or compliance risk. Provisions that should survive will survive, including Sections 4, 10, 11, 12, and 15.
15. Intellectual Property and Feedback
The Platform and its content are owned by or licensed to ATX and protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform except as permitted by law or with ATX’s written permission.
If you submit feedback or suggestions, you grant ATX a perpetual, worldwide, royalty-free right to use it without restriction or compensation.
16. Privacy
ATX will publish a Privacy Policy describing how we collect, use, and share personal information. Until then, you agree that ATX may process information you provide for the purpose of arranging and administering bookings, communicating with you, preventing fraud, and operating the Platform, consistent with applicable law.
17. Governing Law; Venue for Non-Arbitrable Matters
Except where preempted by the FAA for arbitration matters, these Terms are governed by the laws of Texas, without regard to conflict-of-law rules.
To the extent any Dispute is found not arbitrable, you agree it will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to jurisdiction and venue there, unless applicable law requires otherwise.
18. Entire Agreement; Severability; No Waiver
These Terms constitute the entire agreement between you and ATX concerning the Platform and bookings facilitated through it. If any provision is held unenforceable, the remainder remains in effect. ATX’s failure to enforce a provision is not a waiver.
